Terms of Service

1. Acceptance of terms

By installing, activating, or using the AgentClerk WordPress plugin ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not install or use the plugin.

2. Description of service

AgentClerk is a WordPress plugin that deploys an AI-powered sales and support agent on your WooCommerce store. The agent can answer buyer questions, generate attributed purchase links, and assist with post-sale support using knowledge derived from your store content. AgentClerk is currently available for WooCommerce-powered stores.

3. Fees and billing

3a. BYOK tier

The BYOK tier is free to install. A transaction fee of 1% (minimum $1.00) applies to each sale closed by the agent. "Agent-closed sale" means a sale where the buyer received a quote link generated by AgentClerk and completed checkout through that link.

3b. TurnKey tier

The TurnKey tier requires a one-time setup fee of $99.00. A transaction fee of 1.5% (minimum $1.99) applies to each agent-closed sale.

3c. Lifetime upgrade

BYOK sellers may purchase a Lifetime upgrade for a one-time fee of $49.00, which permanently eliminates per-sale transaction fees. The Lifetime upgrade applies only to the BYOK tier.

3d. Billing cycle

Accumulated transaction fees are charged when your balance reaches $20.00, or at the end of each calendar month, whichever occurs first. You must maintain a valid payment method on file to continue using the Service once fees begin to accrue.

3e. What is not charged

Transaction fees apply only to agent-closed sales as defined above. Standard WooCommerce checkout transactions, free products, and any sale not attributed to an AgentClerk quote link are never subject to AgentClerk fees.

4. Your responsibilities

You are responsible for maintaining accurate, lawful, and up-to-date product information, pricing, and policies on your store. AgentClerk's agent responds based on the content it reads from your site.
You are responsible for ensuring your store complies with all applicable consumer protection, data protection, and ecommerce laws in your jurisdiction.
You are responsible for your Anthropic API key (BYOK tier), including any costs incurred through its use.
You must not use AgentClerk to mislead buyers, make false claims, or engage in fraudulent activity.

5. AI-generated responses

AgentClerk's agent responses are generated by an AI language model (Anthropic Claude) based on the content of your store. While AgentClerk is designed to ground responses in your actual catalog and policies, AI systems can occasionally produce inaccurate or incomplete responses. You acknowledge this limitation and agree that AgentClerk is not liable for any loss arising from agent responses that are inaccurate, incomplete, or misunderstood by a buyer.

You are encouraged to test your agent thoroughly before going live and to configure escalation topics for any sensitive areas where human review is required.

6. License

AgentClerk is released under the GNU General Public License v2 (GPL-2.0). You are free to use, modify, and distribute the plugin in accordance with the terms of that license. Certain premium features (TurnKey tier, Lifetime upgrade) are delivered as a service and are not covered by the GPL license.

7. Termination

You may stop using AgentClerk at any time by deactivating the plugin. Any outstanding fees accrued prior to deactivation remain due. We reserve the right to suspend or terminate access to the Service for violations of these Terms.

8. Limitation of liability

To the maximum extent permitted by law, AgentClerk's liability for any claim arising from use of the Service is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via the plugin dashboard or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Refund policy

All sales are final. AgentClerk does not offer refunds on any fees, including one-time setup fees, Lifetime upgrade purchases, or accrued transaction fees. By completing a purchase or accruing fees under these Terms, you acknowledge and agree that no refunds will be issued under any circumstances. If you believe a charge was made in error, contact us at legal@agentclerk.io within 14 days and we will investigate.

No authentication is required for any of these endpoints. The agent can answer questions about products, pricing, policies, and support, and can generate checkout links for purchases.
